Nigeria’s Dangote Refinery Extends $1.6 Billion IPO to Reach More African Investors

Dangote Refinery Extends $1.6 Billion IPO to Widen Access for African Investors

Nigeria’s Dangote Petroleum Refinery and Petrochemicals has extended its initial public offering application deadline by two weeks to October 27, citing strong interest from investors across Africa and plans to make participation more accessible.

The company announced on Monday that Nigeria’s Securities and Exchange Commission had approved the extension. The offer opened on September 14 and was originally scheduled to close on October 13.

Owned by Aliko Dangote, the refinery is seeking to attract up to 10 million retail investors from Nigeria and other African countries, widening ownership of its 700,000-barrel-per-day facility.

According to the company, the extra time will help expand investment distribution channels in other African markets and support cross-border participation. It will also give prospective investors more time to open accounts, complete identity checks and meet regulatory requirements.

However, access outside Nigeria remains a challenge. The prospectus indicates that the share sale was not registered as a public offering in other countries. Investors elsewhere must therefore participate through routes permitted by their local regulations or through eligible online investment platforms.

These barriers highlight the difficulties of opening major share offerings to investors across Africa, where separate national rules and fragmented capital markets can limit participation.

The IPO seeks to raise approximately $1.6 billion, potentially increasing to $2.1 billion if an over-allotment option is exercised. The proceeds are intended to support the expansion of the Lagos refinery.

The facility began processing crude oil in early 2024 and plays a significant role in Nigeria’s ambition to reduce dependence on imported fuel and become a net exporter of refined petroleum products.

The offering is expected to provide an important indication of African retail investors’ appetite for ownership in a major industrial enterprise.
